PREAMBLE
Cuba Primero is established as a democratic political party, of conservative orientation, committed to individual freedom, private property, democratic institutionality, a free economy, legal security, and respect for the rule of law.
The party was born inspired by the need to contribute to the political, economic, institutional, and moral reconstruction of the Republic of Cuba, promoting a society based on human dignity, civic responsibility, institutional stability, national prosperity, and the permanent defense of fundamental freedoms.
Cuba Primero reaffirms its commitment to pluralistic democracy, the alternation of power, the separation of powers, and the permanent respect for the free will of citizens expressed through democratic elections.
The party rejects all forms of authoritarianism, political repression, institutional corruption, ideological extremism, or partisan use of state structures.
TITLE I: GENERAL PROVISIONS
Article 1. Name and symbol
Under the name Cuba Primero, a democratic political party of a conservative orientation is established, in accordance with these Bylaws.
The Party's official symbol is composed of a stylized star in red and blue colors accompanied by the name «Cuba First».
The Party recognizes as official versions of its graphic identity:
a) The vertical institutional version of the logo.
b) The horizontal institutional version of the logo.
Both versions shall have identical validity and official status.
The official graphic representations of the Party's symbol are incorporated as Annex I of these Bylaws.
The modification of the name or any of the essential elements of the official graphic identity shall require the approval of the National Executive Council.
Article 2. Nature of the organization
Cuba Primero is a democratic, conservative-leaning political party established to promote freedom, human dignity, the rule of law, political pluralism, citizen participation, and the economic and social development of Cuba through peaceful and democratic procedures.
Article 3. Purpose of the party
Cuba Primero aims to participate in national political life and contribute to the democratic, institutional, economic, and social reconstruction of the Republic of Cuba.
The party will promote a free, stable, secure, democratic, and prosperous society based on respect for the law, civic responsibility, and economic freedom.
Article 4. Scope of action
Cuba Primero will develop its political activity throughout the Cuban Nation, both inside Cuba and among the Cuban diaspora residing abroad.
The Party may establish representations, delegations, or organizational structures in any country where there are members or sympathizers who share its principles and objectives.
Article 5. Principal office and offices abroad
The headquarters of Cuba Primero is provisionally established in the city of Miami, Florida, United States of America.
Due to the current absence of conditions that allow for the free exercise of pluralistic and democratic political activity within Cuba, the Party will provisionally carry out its leadership, coordination, and institutional representation activities from abroad.
When political and legal circumstances permit, the Party's headquarters will be moved to Havana, Cuba.
Cuba Primero may establish and maintain headquarters, branches, or permanent representations abroad, especially in those countries where there is a significant presence of Cuban citizens or communities linked to the purposes of the Party.
Article 6. Fundamental principles
Cuba Primero will guide its actions according to the following principles:
a) Respect for human dignity and fundamental freedoms.
b) Defense of the rule of law and the separation of powers.
c) Popular sovereignty and democratic legitimacy.
d) Political alternation through free, competitive, and transparent elections.
e) Protection of private property and economic freedom.
f) Legal certainty and equality before the law.
g) Institutional transparency and the fight against corruption.
h) Judicial independence and respect for due process.
i) Defense of the family as a fundamental institution of society.
j) Freedom of religion, conscience, and worship.
k) Political neutrality of public institutions.
l) Participation of all Cubans in national reconstruction.
m) Rejection of all forms of totalitarianism, political violence, repression, or partisan use of State structures.
TITLE II: AFFILIATION, RIGHTS, AND DUTIES
Article 7. Membership
All adults who share the principles, objectives, and values of the Party, expressly accept these Statutes, and maintain conduct compatible with the democratic principles of the organization may join Cuba Primero.
Membership shall be open to persons of any nationality, without prejudice to the specific requirements that these By-laws establish for certain management positions.
The membership application shall be submitted to the competent body of the Party, which will verify compliance with the established requirements.
Article 8. Requirements for national management positionsl
The positions of National President, First Vice President, and Second Vice President shall be reserved for Cuban-born members.
The other positions of management, organization, administration, or representation may be held by members of any nationality who meet the requirements established in these Bylaws and internal regulations.
Article 9. Equal rights
All members shall have equal rights and duties within the Party, without discrimination based on origin, nationality, race, sex, religion, political opinion, social status, or any other personal circumstance.
Article 10. Rights of members
Affiliates have the following rights:
a) Participate in the Party's activities.
b) Express their opinions freely within the bodies and procedures established by the organization.
c) Submit proposals, initiatives, and projects for consideration by the competent bodies.
d) To vote and be elected to internal positions in accordance with statutory requirements.
e) Receive information about the activities and decisions of the Party's organs.
f) Freely resign from their affiliation.
g) Request the review of decisions considered contrary to these Statutes.
Article 11. Duties of affiliates
It is the duty of affiliates:
a) Respect the principles, objectives, and Statutes of the Party.
b) To comply with the agreements validly adopted by the competent bodies.
c) Maintain conduct compatible with the democratic principles of the organization.
d) Act with responsibility, respect, loyalty, and honesty toward the Party.
e) Contribute to the institutional and organizational strengthening of Cuba Primero.
f) Publicly defend the fundamental values and principles of the organization.
Article 12. Loss of affiliate status
Affiliation status shall be lost due to:
a) Voluntary resignation.
b) Death.
c) Agreed expulsion in accordance with the disciplinary regime provided for in these Statutes.
d) Any other cause provided for in the Party's internal regulations that is compatible with the principles of legality, transparency, and due process.
Article 13. Supporters
The Party may grant the status of sympathizer to those individuals who, without holding the status of members, wish to collaborate with the activities and objectives of the organization.
The rights and conditions of participation of supporters shall be regulated by the National Executive Council through internal bylaws.
TITLE III: PARTY ORGANIZATION
Article 14. Organizational structure
Cuba Primero will be organized in accordance with the principles of internal democracy, institutional responsibility, participation of its members, transparency, and organizational effectiveness.
They are main organs of the Party:
a) The National Executive Council.
b) The Presidency.
c) The First Vice Presidency.
d) The Second Vice Presidency.
e) The General Secretariat.
f) The Treasury.
g) The National Representative Offices.
h) The National Congress.
i) The territorial structures and delegations that may be created in accordance with these Statutes.
CHAPTER I: THE NATIONAL EXECUTIVE COUNCIL
Article 15. Nature
The National Executive Council is the highest body for political direction, governance, and decision-making of Cuba Primero.
It is responsible for directing the political, institutional, strategic, and organizational activity of the Party, as well as exercising all those powers not expressly attributed to another body by these Statutes.
Article 16. Composition
The National Executive Council shall be composed of:
a) The President.
b) The First Vice President.
c) The Second Vice President.
d) The Secretary-General.
e) The Treasurer.
f) The National Members.
The total number of members will always be odd.
Article 17. Powers
It is the responsibility of the National Executive Council:
a) Elect the Party President.
b) To approve, upon the proposal of the President, the appointment of the First Vice President, Second Vice President, Secretary General, Treasurer, and National Board Members.
c) Direct the political, institutional, and organizational activity of the Party.
d) Approve and amend these Bylaws.
e) Interpret these Bylaws in those aspects not expressly provided for.
f) Approve the Party's internal bylaws.
g) Create, organize, modify, or eliminate the territorial structures, delegations, auxiliary bodies, commissions, or working groups necessary for the fulfillment of the Party's purposes.
h) Supervise the administrative and financial management of the Party.
i) Approve the annual political, organizational, and economic management reports.
j) To convene the ordinary and extraordinary National Congress.
k) Adopt whatever decisions are necessary for the fulfillment of the purposes and objectives of the Party.
Article 18. Meetings
The National Executive Council shall meet as often as it is convened by the President or by the Secretary General with the authorization of the President. It shall hold at least one ordinary meeting every two months.
Article 19. Call for applications
Ordinary meetings must be convened at least seven calendar days in advance. Extraordinary meetings may be convened at least forty-eight hours in advance when there are reasons of urgency. They may be held in person, online, or through hybrid systems.
Article 20. Quorum and adoption of resolutions
The National Executive Council shall be validly constituted when at least half plus one of its members are present, either physically or online.
Unless expressly provided otherwise in these By-laws, resolutions shall be adopted by a simple majority of the validly cast votes.
The election of the President and the modification of the Bylaws shall require the favorable vote of the absolute majority of the members of the National Executive Council.
The dismissal of the President for a serious breach of the Statutes or actions manifestly contrary to the interests of the Party shall require the favorable vote of two-thirds of the members of the National Executive Council.
CHAPTER II: THE NATIONAL CONGRESS
Article 21. Nature
The National Congress is the representative, deliberative, and political participation body of Cuba Primero. It constitutes the main institutional space for political debate, the exchange of proposals, and the strengthening of the unity of the Party, without prejudice to the powers granted to the National Executive Council by these Statutes.
Article 22. Integration
The National Congress shall be composed of:
a) The members of the National Executive Council.
b) The accredited delegates of the territorial structures.
c) The representatives of the delegations officially recognized by the Party.
d) Those other members determined by the National Executive Council in accordance with these Statutes.
Until the celebration of the first National Congress, the accreditation of delegates shall correspond to the National Executive Council.
Article 23. Powers
It is the responsibility of the National Congress:
a) To know and debate the general political line of the Party approved by the National Executive Council.
b) To know and discuss the reports presented by the President and the National Executive Council.
c) Debate and formulate resolutions, recommendations, and political declarations directed at the National Executive Council.
d) Debate the strategic issues submitted to it by the National Executive Council.
e) Formulate recommendations to the National Executive Council for the better fulfillment of the purposes and objectives of the Party.
f) To exercise the other functions expressly attributed to it by these Statutes.
Article 24. Meetings
The National Congress shall meet in ordinary session every four years and, on an extraordinary basis, when agreed upon by the National Executive Council or when circumstances of special relevance so warrant.
Article 25. Call for proposals
Ordinary meetings must be convened at least thirty calendar days in advance. Extraordinary meetings must be convened at least fifteen calendar days in advance, barring exceptional circumstances.
Article 26. Adoption of resolutions
Unless expressly provided otherwise in these Bylaws, resolutions of the National Congress shall be adopted by a simple majority of the validly cast votes.
Article 27. Vacancies
In the event of the death, resignation, permanent disability, or dismissal of any of the members of the National Executive Council, with the exception of the Presidency, the President shall propose the appointment of a replacement to the National Executive Council.
When the vacancy affects the Presidency, the provisions of the article regarding the vacancy of the Presidency shall apply.
The appointments made to fill vacancies will remain in effect until the end of the corresponding term.
CHAPTER III: PRESIDENCY AND VICE PRESIDENCIES
Article 28. Presidency
The Presidency constitutes the highest political and institutional representation of Cuba First. The President must be a native-born Cuban.
It is the responsibility of the President:
a) To officially represent the Party before institutions, organizations, and third parties.
b) To politically direct the organization.
c) To preside over the meetings of the National Congress and the National Executive Council.
d) Promote compliance with the agreements adopted by the competent bodies of the Party.
e) Exercise the institutional spokespersonship of Cuba Primero.
f) Appoint the members of its executive team in accordance with these Bylaws.
g) Ensure compliance with these Statutes.
Article 29. Election of the President and formation of the executive team
Except as provided in the First Transitory Provision, the President shall be elected by the National Executive Council by the favorable vote of the absolute majority of its members.
Once elected, the President will propose to the National Executive Council the appointment of the First Vice President, Second Vice President, Secretary General, Treasurer, and National Board Members.
The First Vice President and the Second Vice President must be native-born Cubans.
The Secretary General, the Treasurer, and the National Board Members may be members of any nationality, provided they meet the requirements established in these By-laws.
Article 30. Vacancy of the Presidency
In the event of the death, permanent disability, resignation, or removal of the President, the First Vice President shall temporarily assume their duties.
If the vacancy is of a permanent nature, the National Executive Council shall elect a new President within a maximum period of ninety calendar days from the date the vacancy occurs. The elected President shall complete the current term of office.
Article 31. First Vice Presidency
The First Vice President must be Cuban-born.
It is the duty of the First Vice President:
a) To assist the President in the exercise of their functions.
b) Coordinate the tasks delegated to it by the Presidency or the National Executive Council.
c) To replace the President in the cases provided for in these Statutes.
Article 32. Second Vice Presidency
The Second Vice President must be Cuban by birth.
It is the duty of the Second Vice President:
a) Support the Party's political direction and organizational tasks.
b) Coordinate the areas or projects assigned by the National Executive Council. c) Replace the First Vice President when necessary.
Article 33. Presidential candidacy
The Party Presidency and the presidential candidacy of Cuba Primero shall fall upon the same person. Consequently, the election of the Party President shall automatically imply their designation as the presidential candidate of Cuba Primero.
Article 34. General Secretariat
The General Secretariat is the body responsible for the administrative, organizational, and operational coordination of the Party.
It is the responsibility of the Secretary-General:
a) Coordinate the internal functioning of the organization.
b) To administratively execute the agreements adopted by the competent bodies.
c) Safeguard the official documentation of the Party.
d) Maintain or supervise internal records, minute books, and official archives.
e) Coordinate the territorial structures, delegations, and work teams.
f) Prepare, together with the Presidency, the notices and agendas for the meetings of the National Executive Council.
g) Supervise the administrative and documentary management of the Treasury, without replacing the Treasury's own functions in economic, financial, and accounting matters.
h) Guarantee adequate coordination between the General Secretariat and the Treasury for the proper administrative functioning of the organization.
i) Issue internal certifications when necessary for the operation of the Party.
j) Guarantee the proper administrative and organizational functioning of Cuba Primero.
The administrative supervision of the Treasury by the General Secretariat shall be exercised without prejudice to the functional autonomy of the Treasurer in the exercise of their economic, financial, and accounting competencies.
Article 35. Treasury
The Treasury is the body responsible for the economic, financial, and asset management of the Party.
It is the Treasurer's responsibility to:
a) Manage the economic resources of the Party.
b) Maintain or supervise accounting.
c) Control income, expenses, assets, bank accounts, and financial obligations.
d) Prepare periodic economic reports for the National Executive Council.
e) Prepare the annual budget of the Party.
f) Ensure compliance with internal standards for transparency, financial control, and accountability.
g) Safeguard, together with the General Secretariat, the relevant economic and accounting documentation.
Article 36. Economic control and dual authorization
The Party's financial management shall be subject to the principles of legality, transparency, responsibility, internal control, and accountability.
Financial, banking, contractual, or asset operations exceeding the limits established by the National Executive Council shall require the joint authorization of the Treasurer and the Secretary General.
None of them may individually authorize transactions subject to the dual authorization system provided for in this article.
The National Executive Council may establish, through internal regulations, the specific financial limits from which double authorization will be required, as well as other complementary mechanisms for financial supervision and control.
TITLE V: DISCIPLINARY REGIME, ETHICS AND INCOMPATIBILITIES
Article 37. Ethical principles
All members, leaders, and representatives of Cuba Primero must act in accordance with the principles of honesty, responsibility, transparency, legality, institutional respect, democratic conduct, and defense of the Party's values.
Article 38. Incompatible conduct
It shall be incompatible with membership or the holding of office within the Party:
a) The promotion or justification of political violence.
b) Participation in illicit activities.
c) The corruption or misuse of the organization's economic or material resources.
d) The use of the Party for personal or economic purposes contrary to its objectives.
e) Collaboration with criminal organizations or structures incompatible with the democratic principles advocated by Cuba Primero.
f) The use of threats, intimidation, or any form of political coercion.
g) Public conduct that is gravely contrary to the fundamental principles and objectives of the Party.
h) The serious or repeated breach of these Statutes.
Article 39. Disciplinary measures
Members may be subject to disciplinary measures when they engage in conduct contrary to these By-laws, internal regulations, or fundamental principles of the organization.
Disciplinary measures may consist of:
a) Reprimand.
b) Temporary suspension of membership rights.
c) Separation of internal duties or functions.
d) Expulsion from the Party. The sanction must be proportional to the gravity of the events.
Article 40. Procedural guarantees
Every disciplinary measure must be adopted through an internal procedure that guarantees:
a) The notification of the attributed facts.
b) The right to submit allegations and evidence.
c) The impartial evaluation of the facts.
d) A reasoned resolution.
e) The possibility of requesting a review before the competent body.
No affiliate may be sanctioned without having had a reasonable opportunity to exercise their right to a defense.
Article 41. Guarantee and supervisory bodies
The National Congress or the National Executive Council may create, when the organizational development of the Party so advises, internal bodies for guarantee, supervision, discipline, auditing, or electoral control intended to reinforce transparency, internal democracy, and the proper institutional functioning of Cuba Primero.
The composition, powers, and procedures of said bodies shall be regulated by means of their corresponding internal regulations.
TITLE VI: ECONOMIC AND FINANCIAL REGIME
Article 42. Economic resources
The economic resources of Cuba Primero may be constituted by:
a) The membership dues.
b) Voluntary contributions from members and supporters.
c) Legally permitted donations.
d) Income derived from activities authorized by the Party.
e) Any other income compatible with applicable legislation and with the principles established in these Statutes.
Article 43. Financial transparency
The economic and financial administration of the Party shall be governed by the principles of legality, transparency, responsibility, internal control, and accountability.
The Treasury must submit periodic economic reports to the National Executive Council.
Article 44. Prohibition of incompatible funds
Cuba Primero will not be able to accept financial resources originating from illicit activities, criminal organizations, or any other source incompatible with the democratic principles defended by the Party.
Direct donations from foreign governments, political parties, public entities, or state-owned enterprises intended to finance the Party's ordinary activities are prohibited.
The Party may participate in technical cooperation, democratic training, institutional strengthening, or electoral observation programs promoted by international bodies, foundations, or organizations of a democratic nature, provided that such programs respect the political independence of Cuba Primero and are developed with full transparency.
The Party will reject any funding conditioned on the adoption of positions contrary to its independence, principles, or institutional interests.
Financial control, transparency, limitation, and accountability procedures shall be established by means of internal regulations.
Article 45. Audit and financial control
The National Executive Council may establish or contract internal or external auditing, supervision, and financial control mechanisms whenever it deems appropriate to ensure the proper administration of the organization's resources.
TITLE VII: AMENDMENT OF THE STATUTES
Article 46. Amendment of the Bylaws
These Bylaws may be amended in whole or in part by resolution of the National Congress.
Reform proposals may be submitted by the National Executive Council or through the procedures established by the organization's internal regulations.
Article 47. Required majorities
The approval of any statutory reform shall require the favorable vote of the absolute majority of the accredited members of the National Congress.
Article 48. Dissolution
The dissolution of Cuba Primero may only be agreed upon by the National Congress with the favorable vote of three-quarters of the accredited delegates.
Once dissolution has been agreed upon, the National Executive Council shall act as a liquidation committee.
The remaining assets, once legal obligations have been met, shall be allocated to non-profit organizations that promote democracy, human rights, and the strengthening of civil society in Cuba, as determined by the National Congress in the dissolution agreement.
TRANSITIONAL PROVISIONS
First Transitory Provision. Constitution of the founding bodies
On an exceptional basis and exclusively for the establishment of Cuba Primero, the founding members of the Party shall elect, by simple majority, the first President of Cuba Primero.
Once elected, the President shall appoint, from among the founding members, the First Vice President, Second Vice President, Secretary General, Treasurer, and National Board Members who will comprise the first National Executive Council.
Following the establishment of the first National Executive Council, the election of the Presidency, as well as the composition and renewal of the National Executive Council, shall be governed exclusively by the provisions of these Bylaws.
Second Transitional Provision. First National Congress
Until the celebration of the first National Congress, the National Executive Council shall exercise the functions attributed to said body in all matters necessary for the organization, development, and institutional consolidation of Cuba Primero.
The first National Congress may ratify, amend, or replace these By-laws in whole or in part in accordance with the procedures established therein.
Sole Final Provision
These Bylaws constitute the fundamental rule of organization and internal functioning of Cuba Primero and shall enter into force from the moment of their approval by the National Executive Council.
The National Executive Council shall be responsible for interpreting these By-laws in those matters not expressly provided for therein, without prejudice to the power of the National Congress to establish, by means of an express agreement, the definitive interpretation of any statutory provision within the scope of its powers.
